1. Agreement Overview

These Terms and Conditions ("Terms") govern your use of the services provided by ZONE MEDIA OÜ (registration number 10577829) ("Company," "we," "our," or "us"), an Estonian company specializing in computational infrastructure and data hosting services.

By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

2. Services Description

ZONE MEDIA OÜ provides computational infrastructure services including but not limited to:

• Data center hosting and colocation services
• Cloud computing and virtualization solutions
• Network infrastructure and connectivity services
• Managed IT services and technical support
• Related consulting and professional services

3. Service Level Agreements

3.1 Uptime Guarantee

We provide a 99.9% uptime guarantee for our core infrastructure services, measured monthly. Service credits may apply for sustained outages as specified in individual service agreements.

3.2 Support Response Times

• Critical issues: 1 hour response time
• High priority issues: 4 hours response time
• Standard issues: 24 hours response time
• General inquiries: 48 hours response time

4. Client Obligations

As a client, you agree to:

• Provide accurate and complete information during service registration
• Maintain the security of your account credentials
• Use services in compliance with applicable laws and regulations
• Pay all fees and charges as specified in service agreements
• Notify us promptly of any security incidents or unauthorized access
• Maintain appropriate data backups and disaster recovery plans

5. Acceptable Use Policy

5.1 Prohibited Activities

You may not use our services for:

• Illegal activities or violation of applicable laws
• Distribution of malware, viruses, or harmful software
• Unauthorized access to networks or systems
• Spam, phishing, or unsolicited communications
• Copyright infringement or intellectual property violations
• Activities that compromise service security or stability

5.2 Resource Usage

Clients must use services within allocated resource limits. Excessive usage may result in additional charges or service suspension.

6. Payment Terms

6.1 Fees and Billing

• Service fees are billed in advance unless otherwise specified
• Payment is due within 30 days of invoice date
• Late payments may incur additional charges
• All fees are non-refundable unless otherwise stated

6.2 Service Suspension

We may suspend services for non-payment after 15 days past due notice, with 7 days advance warning.

7. Data Security and Privacy

7.1 Data Protection

We implement industry-standard security measures including:

• ISO 27001 compliant security practices
• Encryption of data in transit and at rest
• Regular security audits and assessments
• Multi-factor authentication and access controls

7.2 Client Data Ownership

You retain full ownership of your data. We do not claim ownership rights to your content or data stored on our infrastructure.

8. Limitation of Liability

8.1 Service Availability

While we strive for maximum uptime, we cannot guarantee uninterrupted service availability due to factors beyond our control including natural disasters, third-party failures, or maintenance activities.

8.2 Damages

Our total liability for any claims arising from service provision shall not exceed the amount paid by the client for services in the 12 months preceding the claim.

8.3 Indirect Damages

We shall not be liable for indirect, consequential, or punitive damages including loss of profits, data, or business opportunities.

9. Force Majeure

We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, government actions, labor disputes, or infrastructure failures.

10. Intellectual Property

10.1 Our IP Rights

All intellectual property related to our services, including software, documentation, and proprietary technologies, remains our exclusive property.

10.2 Client IP Rights

We respect your intellectual property rights and do not claim ownership of your data, applications, or content.

11. Confidentiality

Both parties agree to maintain confidentiality of proprietary information disclosed during the service relationship. This obligation survives termination of services.

12. Service Termination

12.1 Termination by Client

Clients may terminate services with 30 days written notice. Prepaid fees are non-refundable unless otherwise specified.

12.2 Termination by Company

We may terminate services for breach of terms, non-payment, or illegal activities with appropriate notice.

12.3 Data Retrieval

Clients have 30 days after termination to retrieve their data before permanent deletion.

13. Compliance and Legal Requirements

Our services comply with:

• Estonian and European Union data protection regulations
• ISO 27001 information security standards
• SOC 2 Type II compliance requirements
• GDPR privacy and data protection rules

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with Estonian law.

14.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of Estonian courts.

14.3 Alternative Resolution

We encourage resolution of disputes through good faith negotiations before pursuing formal legal proceedings.

15. Modifications

We may modify these Terms with 30 days advance notice. Continued use of services after modifications constitutes acceptance of updated Terms.

16. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.
